Constitution of Global Strategic Cooperation Alliance of Tianneng Group

Chapter I  General provisions

Article 1 Name of Alliance: Tianneng Global Strategic Cooperation Alliance, English name is "Tianneng Global Alliance", short for "TGA".

Article 2 Mission of the Alliance: accelerate joint innovation of new energy technologies and products, gather superior resources of the global industrial chain, provide safer green energy products and solutions for the world, and achieve win-win business. We will build industrial consensus, increase industrial synergy and interaction, expand industrial space, and promote the sound and sustainable development of industries.

Article 3 Nature of the Alliance: Initiated and led by Tieneng Group, the Alliance is jointly established and operated by all parties of the industrial chain, including technology providers, manufacturers, system integrators and enterprise users, in accordance with the purpose of "openness, win-win and equality".

Chapter II  Scope of work of the Alliance
The business scope of the Alliance includes, but is not limited to:

Article 4 To carry out work related to new energy application demands, collect industry information, continuously explore business scenarios and demands, and publish industry reports and white papers. Listen to the voice of customers, gather industrial consensus, solve industrial pain points, make the industrial cake bigger.

Article 5 Industrial partners shall join hands in joint innovation, carry out and promote product development in the field of new energy, build industrial ecology, release green solutions to the industry, cultivate an environment for innovation, promote joint innovation and cooperation, and enhance the supply capacity of new energy products.

Article 6 Cooperate with the organizations and institutions of all industries to jointly promote the research and formulation of key technologies, commercial and industrial topics and application related standards, promote the rapid and healthy development of the industry, and promote the formation of synergy of the industry technologies.

Article 7 Carry out the technology docking test and certification of the new energy ecological alliance, and promote the formulation of product connectivity, certification and other related test standards, as well as the communication and exchange of test samples. Accelerate technology and value assignment, and create the best products and solutions in the industry.

Article 8 Enhance industry influence and industry recognition, jointly publicize and promote, make positive contributions to the evolution of the industrial direction and pace, and promote the maturity and development of the new energy industry.

Chapter III  Organizational structure and operation
The Alliance has set up a secretariat, working group and advisory team to work together to ensure the healthy operation of the Alliance.

Article 9 Secretariat: As the overall management and operation body of the Alliance. It is mainly composed of industry experts from Tieneng Group, and coordinates with some partners according to the specific industrial activities of the alliance. Undertake the following duties:

1. Organize, formulate and lead the implementation of the development plan and work direction of the alliance; To interpret and revise the articles of Association. Set up and change working group Settings according to business needs.

2. Review the relevant applications of Alliance members. Promulgation and modification of relevant rights and interests of Alliance members, formulation of rights and interests application rules, and approval and implementation of each member's rights and interests application.

3. Undertake the cooperation interface between external industrial organizations and third-party research institutions, and organize relevant exchanges and cooperation activities.

To undertake alliance publicity and industry promotion.

Article 10 Consultant team: Help the healthy development of the Alliance with the help of expert's professional thinking and insight.

Article 11 Working Group: The work of the Alliance shall be promoted by working group as the implementation unit. The working group is set up to match the specific industry needs, and the certification working group is set up at the initial stage to promote the relevant matters of alliance testing and certification. Subsequently, the working group can be supplemented and adjusted according to the new industrial development needs of the alliance.

Chapter IV Alliance members' rights and responsibilities and procedures
Article 12 Rights and Interests of Members

1. In the process of globalization expansion, Tianeng Group will cooperate with its member units for win-win cooperation, go to sea together, and share global resources to the maximum extent, including but not limited to cooperation introduction, platform opening, technology empowerment, etc.

2. In the process of helping customers achieve business success, we will deeply cooperate with member units, actively innovate, and jointly develop solutions and services that meet customer needs and have competitive advantages, so as to realize the business success of all member units.

3. Join hands with Tieneng Group to jointly promote technological progress and industry standard formulation, contribute research, development and application achievements, carry out joint innovation, participate in industrial development and lead the process.

4. Free participation in open seminars, technical and industrial exchanges, online and offline training and other activities organized by the Alliance. Receive the alliance's white paper push, technical data push, industry trend or related consulting report push free of charge.

5. Preferential access to all overseas channels of Tianneng Group, including not limited to website operation, media resources, offline exhibitions, customer recommendation and other links. Each member unit can actively introduce products and services of other member units.

Article 13 Obligations of Members

1. Agree to join the global strategic cooperation alliance of Tieneng Group, and agree that the brand of the alliance belongs to Tieneng Group.

2. Party B's external publicity shall comply with the relevant provisions of the Cooperation Agreement on the Accession of the Global Strategic Cooperation Alliance of Tianneng Group.

3. Fulfill the responsibility requirements related to the confidentiality clause in the Cooperation Agreement on the Accession of the Global Strategic Cooperation Alliance of Tianneng Group.

4. Actively participate in and support various activities of the Alliance, and support the relevant promotion of the Alliance.

5. Respect and protect intellectual property rights according to the relevant requirements of the national intellectual property system.

Article 14 Membership Requirements: All partners who meet the following conditions can voluntarily join the Global Alliance of Heavenly Energy.

1. The Franchisee shall develop or plan to develop new energy-related products and solutions in cooperation (integration or sales) with Tianeng Group.

2. Franchise members should have independent legal entity status.

Article 15 Procedures for admission to an Alliance

1. The official signing of the Cooperation Agreement on Joining the Global Strategic Cooperation Alliance of Tianneng Group can be regarded as a full member of the Alliance.

2. Member units shall provide high-definition corporate logo and corporate publicity materials for subsequent publicity and display.

Article 16 Withdrawal from the Union

1. The withdrawal of the Alliance shall be carried out according to the termination procedure of the Agreement on the Accession and Cooperation of the Global Strategic Cooperation Alliance of Tianeng Group. The termination of the Agreement means the withdrawal of the Alliance member from the Alliance.

2. If any member of the Alliance needs to withdraw from the Alliance for various reasons, he/she shall send a written notice to the Secretariat ten working days in advance and shall continue to bear the obligation of confidentiality after withdrawal.

3. If any member of the Alliance seriously violates the Articles of Association, the Secretariat shall send a written notice to the member of the Alliance in advance on behalf of Teneng Group.
